MyEasyTask User Agreement

This is the User Agreement (the "Agreement" or "User Agreement") for your use of web sites MyEasyTask.com ("MyEasyTask") and you ("Users"). This Agreement contains the terms and conditions ("T&C") applicable to your use of our services ("Service" or "Services") available under or through the domain, sub-domains, and affiliated domains of www.MyEasyTask.com (collectively, the "MyEasyTask") and the general principles for the web sites of our international affiliates. If you ("YOU" OR "USER") do not agree to be bounded by the terms and conditions of this agreement, do not use, access our site or the services.
You must read, agree with and accept all of the terms and conditions contained in this User Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may use the Site or the Services or become a registered user of the Site. This Agreement is effective upon the earlier of: (i) your first use of the Site for any reason; (ii) acceptance of this Agreement by new registering users; or (iii) the Effective Date noted on the posted version of the Agreement.

Responsibility of Users:
In order to register and to use MyEasyTask and its service, you must be at least 18 years of age. The Program and Services of MyEasyTask are available internationally to both people inside Malaysia and abroad and are void where prohibited by local governing laws.

Relationship of the Parties:
You and MyEasyTask are independent contractors, and nothing in this agreement creates any partnership, joint venture, agency, franchise, sales representative or employment relationship between you and MyEasyTask.com. You understand that you do not have authority to make or accept any offers or make any representations on behalf of MyEasyTask. You may not make any statement, whether on your site or otherwise, that would contradict anything in this section. You are solely responsible for the reporting and payment of any taxes for money earned while using the Program of MyEasyTask.

Modifications:
MyEasyTask may, at any time, choose to edit, add and/or delete portions of this agreement and impose changes without prior notification of its Users. Users will be informed of any and all changes to this policy via an e-mail to their primary contact e-mail address provided upon signing up with MyEasyTask. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the MyEasyTask program following our posting of a change in policy notice or new agreement on our site will constitute binding acceptance to the change.

Definition:
For purposes of this Agreement, (a) "MyEasyTask", "we", "us" or "our" means Rick To Net Coaching Center (b) "Site" means the MyEasyTask web site located at www.MyEasyTask.com and any successor website thereto, including all services provided by us to you through the service platform on the Site, (c) "Services" means any service that you sell, offer to sell, request, purchase, and/or provide on or through the Site, (d) "Users" means any entity controlled by, in control of, or under common control with MyEasyTask, (e) "Employers" means you, if you use the Site platform to connect to Workers who can complete your tasks, (f) "Workers" means you, if you use the Site platform to access to tasks which are submitted by Employers. (g) "Task" means a job, which Employers expect completing with Site?s Workers. (h)"Campaign" means a set of tasks. Employers submit a campaign by specifying the detail of the Task, the number of Tasks.

MyEasyTask's service

MyEasyTask's Role:
MyEasyTask provides a venue for third-party Employers and third-party Workers to enter into and complete transactions. MyEasyTask and its Affiliates are not involved in the transactions between Employers and Workers. As a result, we have no control over the quality, safety or legality of the Services, the ability of Workers to provide the Services to Employers' satisfaction, or the ability of Employers to pay for Services. We are not responsible for the actions of any Employer or Worker. We do not conduct any screening or other verification with respect to Employers or Workers, nor do we provide any recommendations. As an Employer or a Worker, you use the Site at your own risk.

Employers in General:
Upon completion of Services to Employer's reasonable satisfaction, Employers must pay Workers for their Services. As an Employer, you agree that upon your approval of the Services performed by a Worker, payment will be remitted to the Worker?s account automatically. After you have approved the applicable Services, you are not entitled to any refund of your payment for such Services. If an Employer is not reasonably satisfied with the Services, the Employer may reject the Services. Please review the applicable MyEasyTask Fees contained in the Policies for all applicable fees associated with your use of the Site pursuant to this Agreement. All fees are in U.S. dollars (U.S.D) unless stated otherwise. The MyEasyTask Fees may vary in the future. You agree to pay the amounts set forth in the MyEasyTask Fees from time to time on the terms set forth herein and therein, and to check the fees and terms each time you use the Site. You acknowledge that, while Workers are agreeing to perform Services for you as independent contractors and not employees, repeated and frequent performance of Services by the same Worker on your behalf could result in reclassification of that employment status. If you have any questions about your obligations to comply with local laws, you should seek independent legal advice. To the extent you receive any contact or personal information regarding any Worker who has performed Services for you, such information may only be used as necessary for you to comply with applicable laws and for no other purpose whatsoever. Further, you agree that you will only accept work product from Workers that has been submitted through the Site.

Workers in General:
You may only register once with MyEasyTask as a Worker. Workers may perform Services for any Employer in accordance with the specifications submitted by the Employer. However, if the Services do not meet the Employer's reasonable satisfaction, the Employer may reject the Services and re-post the specific request. As a Worker, the Employer for whom you provide Services is your client, and as such, you agree that the work product of any Services you perform is deemed a "work made for hire" for the benefit of the Employer, and all ownership rights, including worldwide intellectual property rights, will vest with the Employer immediately upon your performance of the Service. To the extent any such rights do not vest in Employer under applicable law, you hereby assign or exclusively grant (without the right to any compensation) all right, title and interest, including all intellectual property rights, to such work product to the Employer. As a Worker you are performing Services for a Employer in your personal capacity as an independent contractor and not as an employee of the Employer. You specifically acknowledge and agree to the following: (i) you will not use robots, scripts or other automated methods to complete the Services; (ii) you will submit all work product through the Site only, and not directly to a Employer; (iii) you will provide Employers for whom you perform Services with any information reasonably requested by them in connection your performance of such Services; (iv) you are responsible for, and have and will, comply with all applicable laws and registration requirements, including those applicable to independent contractors and maximum working hours regulations; (v) this Agreement does not create an association, joint venture, partnership or franchise, employer/employee relationship between Workers and Employers, or Workers and MyEasyTask; (vi) you will not represent yourself as an employee or agent of a Employer or MyEasyTask; (vii) you will not be entitled to any of the benefits that a Employer or MyEasyTask may make available to its employees, such as vacation pay, sick leave, insurance programs, including group health insurance or retirement benefits; and (viii) you are not eligible to recover worker's compensation benefits in the event of injury. If you have any questions about your obligations to comply with local laws, you should seek independent legal advice.

Prepaid Tasks :
Each Employer must prepay for work they intend on acquiring through the Services by purchasing MyEasyTask Campaigns ("Prepaid Tasks") from MyEasyTask. Prepaid Tasks are subject to the MyEasyTask Terms and Conditions. Prepaid Tasks are maintained in a single account for you solely for use of the Services. When Employers purchase a campaign, the total amount of the cost of the campaign will be debited from Employers? account and held in escrow until the Employer accepts the work produced by the Worker. The amount includes the total cost for the completed Tasks payable to Workers, service fee owned to MyEasyTask and any other service fee Employers choose. After an Employer's acceptance of the Services, the MyEasyTask will transfer the amount owed to each Worker, to his/her account. The funds that were held in escrow will be used for these payments. If the work is not accepted, the funds will be remain in escrow until the amount of time the Employer has specified for the TASK to be available for completion or expires. The Prepaid amount for campaigns is not refundable.

Escrow Service:
MyEasyTask or its Affiliates will process all payments made by Employers to Workers (the "Escrow Service"). Employer payments made through the Escrow Service are received by MyEasyTask or its Affiliates on behalf of Workers, and may be disbursed only in accordance with the terms outlined below. All payments will be made through PayPal, Egold, Credit Card, Cheque or such payment method available in MyEasyTask's system. Such payments include payments made by Employers into their Prepaid TASK accounts and those payments made to Workers through our escrow service for tasks completed.

Listing and Promotions:
As an Employer or Worker, you may not sell, offer for sale, request, purchase, or provide any Service that violates applicable law or is prohibited by the Policies. Notwithstanding any provision of this Agreement, MyEasyTask will have the right, in its sole discretion, to determine the content, appearance, design, functionality and all other aspects of the Site (including the right to re-design, modify, remove and alter the content, appearance, design, navigation, functionality, and other aspects of the Site and/or any page thereof and any element, aspect, portion or feature thereof, from time to time).

Task's information and Feedback:
You must supply accurate and complete information for all Services in accordance with our data requirements, as may be designated by us from time to time, including in the Policies. You recognize and agree that MyEasyTask will implement mechanisms allowing us and others to track your requests for, or your performance of, Services and rate your performance as an Employer or Worker, and MyEasyTask reserves the right to collect feedback regarding your performance and to post such feedback on the Site. You may not take any actions that may undermine the integrity of the feedback system. You agree that submission of any information, feedback, content, data or other materials (collectively, "Materials") is at your own risk, and that none of MyEasyTask, its Affiliates, Employers or Workers has any obligations (including without limitation obligations of confidentiality) with respect to such Materials. You represent and warrant that you have all rights necessary to submit the Materials. You hereby grant to MyEasyTask and its Affiliates a royalty-free, non-exclusive, worldwide, perpetual, irrevocable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Materials, and to sublicense the foregoing rights, in connection with the operation and maintenance of the Site.

Disputes between Employers and Workers:
Your use of the Site is at your own risk. Because MyEasyTask is not involved in the actual transaction between Employers and Workers, MyEasyTask will not be involved in resolving any disputes between participants related to or arising out of the Services or any transaction.

Disbursement of Funds to Workers:
When Employers register with the Site, a payment account ("Escrow Account") will automatically be established in conjunction with their registration. See our FAQ's for more information. Funds will only be disbursed in compliance with applicable laws and regulations, including without limitation the United States Patriot Act and the regulations of the Office of Foreign Assets Control. We reserve the right to cancel your Prepaid TASK or Escrow Accounts for any reason.

Restrictions and Limitations:
We reserve the right to terminate or suspend any Escrow Account, or to delay the availability of any Prepaid TASKs, transfer or disbursement of any amounts, in each case for any reason in our sole discretion, including, without limitation, if we believe that an Employer or Worker is in violation of this Agreement. As a security measure, we reserve the right to restrict the transfer to Workers of any amounts held in an Employer's Prepaid TASK account for up to seven (7) Business Days following any purchase. Other than a credit to a Worker's PayPal Account for Services rendered by such Worker, amounts held in Escrow and Prepaid TASK Accounts cannot be transferred to other Employers or Workers.

Account usage and acceptable use:

Account Creation:
You agree to and must use your own name and e-mail address in the registration process and may not assume a false identity. You will use your username and password combination to access your account area at MyEasyTask, and it is your responsibility to keep this information confidential. You may change this information by logging into your account and following the "Account info" link. You are solely responsible for any and all use of your MyEasyTask account including authorization by you to any third party or individual who may access and use your account.

Account termination:
Should any instances of fraud, system abuse, or any type of activity deemed to be inappropriate or illegal by MyEasyTask be detected, it may result in membership termination and possible legal action.

Balances:
If you do hold a Balance, MyEasyTask will hold your funds separate from its corporate funds, will not use your funds for its operating expenses or any other corporate purposes and will not voluntarily make your funds available to its creditors in the event of bankruptcy.

Withdrawing Money:
You may withdraw the money in your account from Payment Request in MyEasyTask member area. MyEasyTask will process requested payments within 30 days of the requested date. A balance of 10.00 U.S. dollars is required to submit a payment request. MyEasyTask may require each User to submit an applicable tax form before payments can be made to Users. Inability to provide an appropriate tax form or accurate information will prevent MyEasyTask from paying out payments due to Users and may result in cancellation of outstanding payments to Users.

Security:
You are responsible for any misuse of your account, even if the inappropriate activity was committed by a friend, family member, guest or employee. Therefore, you must take steps to ensure that others do not gain unauthorized access to your account. In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server.

Referral program:
The Users who register from your referral Link become your Referral. We will make available to you, graphic banners, button links and text links to our Web site ("Links"). In using the Links, you agree that you will cooperate fully with us in order to establish and maintain such Links. A Link can be modified and/or expanded with our consent. You may include Links on your website or in your email signature or such online tools. We have the right, in our sole discretion, to monitor your promotional activities to refer people to MyEasyTask by using Links at any time and from time to time to determine if you are in compliance with the terms of this Agreement. You may not promote your Links through unsolicited emailing (i.e. SPAMMING), or any other method of mass communication. Failure to comply will result in immediate termination of your account with MyEasyTask and may result in legal prosecution. MyEasyTask strictly enforces anti-Spamming laws. Spamming is a federal crime. Any member caught Spamming will not only have their account terminated immediately and lose any past, present and future earnings, but shall also be held liable for Spamming as we shall cooperate with any authorities and investigations that may arise from the Spamming incident. MyEasyTask may charge up to five (5) US dollars per spam e-mail sent.

Fraud:
MyEasyTask retains the right to review all user activities and commissions for possible fraud. Any incidence of fraud constitutes a breach of this Agreement, and MyEasyTask retains full authority to terminate this Agreement immediately.

Transaction Errors:
If you believe that any payment transaction initiated by us (or our agent) is erroneous, or if you need more information about any such transaction, you should contact us as soon as possible.

Our Liability:

We (and our Affiliates) act only in the capacity of a payment processor in facilitating the transactions between Employers and Workers, and are not otherwise involved in the actual transactions. We will only be responsible for initiating purchases of Prepaid TASKs and the transfers or disbursements at the direction of Employers and Workers. We will be entitled to rely on the instructions of Employers and Workers without any further inquiry or liability whatsoever. We will not be liable if we are not able to complete a transaction for any reason, including, but not limited to,

If any system or equipment was not working properly and you knew or had been advised about the breakdown before you initiated the transaction
If you do not have enough available funds in your Prepaid TASK account or in your Escrow Account to complete the applicable transaction;
If circumstances beyond our control (such as, but not limited to, power outages, fire, flood, mechanical or systems failure) prevent the proper execution of the transaction, despite reasonable precautions we have taken;
If your transaction is intercepted by legal process or other encumbrances restricting transfer, or your participation in the Site has been terminated or suspended for security purposes;
If we are unable to confirm your identity or have reason to believe that the transfer requested is unauthorized; or
If you have not provided us with correct, current and complete payment information.

Compliance with Laws:

Taxes:
You agree that it is your responsibility to determine any and all taxes and duties, including without limitation, sales, use, transfer, value added, withholding and other taxes and/or duties assessed, incurred or required to be collected, paid or withheld for any reason in connection with any request for, or performance of Services, or your use of the Site, or otherwise in connection with any action, inaction or omission of you or any of affiliate of yours, or any of your or their respective employees, agents, contractors or representatives ("Taxes") and to collect, withhold, report, and remit correct taxes to the appropriate tax authority, and to otherwise be responsible for the collection and payment of any and all Taxes. YOU ALSO AGREE THAT MyEasyTask AND ITS AFFILIATES ARE NOT OBLIGATED TO DETERMINE WHETHER TAXES APPLY AND ARE NOT RESPONSIBLE TO COLLECT, REPORT, OR REMIT ANY TAXES ARISING FROM ANY TRANSACTION.

Compliance with Laws:
The Site may be used only for lawful purposes and in a lawful manner. You may not use the Site in any manner that violates any applicable law or governmental regulation. In addition to your obligations with respect to Taxes and Permits above, you agree to comply with all applicable laws, statutes, and regulations of any jurisdiction in which you request or perform Services.

Disclosure of Information, Confidentiality and Privacy:

Your Use of Data and Communications:
You may use information or other data acquired from your use of the Site solely to the extent necessary for you to use the Site and for no other purpose, including but not limited to, for purposes of solicitation, advertising, marketing, unsolicited e-mail or spamming, harassment, invasion of privacy, or otherwise objectionable conduct. Employers may use Worker Tax Information solely to the extent necessary to comply with IRS reporting obligations.

Press Releases and Public Disclosures:
You may generally publicize your use of the Site, however you may not issue any press release with respect to MyEasyTask or the Site, without MyEasyTask's express prior written consent.

No Warranties:

The site, the prepaid task service, the escrow service and the site services are provided on an "AS IS" basis. To the fullest extent permitted by applicable law, MyEasyTask makes no representations or warranties of any kind, express or implied, including without limitation:

ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
THAT THE SITE, THE PAYMENT SERVICE OR THE SITE SERVICES WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OPERATE WITHOUT ERROR, OR WILL CONTAIN ANY PARTICULAR FEATURES OR FUNCTIONALITY;
THAT THE INFORMATION, CONTENT, OR MATERIALS INCLUDED ON THE SITE WILL BE AS REPRESENTED BY EMPLOYERS OR WORKERS, THAT THE SERVICES ARE LAWFUL, OR THAT EMPLOYERS OR WORKERS WILL PERFORM AS PROMISED; OR
ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

General Release:

BECAUSE MyEasyTask IS NOT INVOLVED IN TRANSACTIONS BETWEEN EMPLOYERS AND WORKERS OR OTHER PARTICIPANT DEALINGS, YOU HEREBY RELEASE MyEasyTask AND ITS AFFILIATES (AND THEIR RESPECTIVE EMPLOYEES, DIRECTORS, AGENTS AND REPRESENTATIVES) FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES (ACTUAL, CONSEQUENTIAL AND OTHERWISE) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY DISPUTE BETWEEN ONE OR MORE EMPLOYERS, WORKERS, OR OTHER USERS OF THE SITE.

Limitation of Liability:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MyEasyTask AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SITE, THE PREPAID TASK SERVICE, THE ESCROW SERVICE, THE SITE SERVICES, THE INABILITY TO USE THE SITE SERVICES, OR ANY SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SITE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MyEasyTask'S OR ITS AFFILIATES' AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR OTHER THEORY), WARRANTY OR OTHERWISE, EXCEED THE AMOUNT OF FEES EARNED BY {SITE_NAME} IN CONNECTION WITH YOUR REQUEST FOR, OR YOUR PERFORMANCE OF, SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY.

Applicable Law; Arbitration;

The Site is arranged, sponsored, and managed by MyEasyTask in Malaysia. The laws of Malaysia governs this Agreement and all of its terms and conditions, without giving effect to any principles of conflicts of laws. You agree that any action at law or in equity arising out of or relating to these terms and conditions shall be submitted to confidential arbitration in Malaysia, except that, to the extent you have in any manner violated or threatened to violate MyEasyTask's intellectual property rights, MyEasyTask may seek injunctive or other appropriate relief in any state or federal court in Malaysia, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

Termination

You may at any time elect to stop using the Site, provided that in discontinuing any Site activities, you must use MyEasyTask's standard functionality and further must abide by all applicable MyEasyTask Policies, Procedures and Guidelines. MyEasyTask, in its sole discretion, may terminate this Agreement, suspend access to the Site, or remove any Service listings immediately without notice for any reason.

General Provisions

Assignment:
You may not assign this Agreement without our prior written consent. We may assign this Agreement at any time, without notice. Subject to the foregoing, this Agreement will be binding on each party's successors and permitted assigns.

Severability: If any provision of this Agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.

No Waiver: We will not be considered to have waived any of our rights or remedies, or portion thereof, unless the waiver is in writing and signed by us. MyEasyTask's failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of MyEasyTask's right to subsequently enforce such provision or any other provisions of this Agreement.

Notices: All notices relating to this Agreement (including the Escrow and Prepaid TASK Services) will be sent by e-mail or will be posted on the Site. We will send notices to you at the e-mail address maintained in our records for you. You must send notices to us at our current e-mail address published on the Site. E-mail notices are deemed written notices for all purposes for which written notices may be required. E-mail notices are deemed received the business day after transmission if properly addressed to the intended recipient.

Promotions : Free Bonus Top-Up Promo is mainly targeted for campaigns submission only. From time to time, MyEasyTask will run Free Bonus Top-Up Promo and during such period, both the deposited money and the free bonus money can only be used for campaigns. They are not allowed to be withdrawn.
